Terms of Service

The agreement between you and LoopStack Labs for using LoopServe.

Last updated · Effective

Draft for review. Anything marked [[TODO: ...]] is a decision still to be made before launch. This page is not legal advice, and it isn't a promise that the feature it mentions exists yet.

1. Who we are

LoopServe is a web app for groups and the people who organize them: groups, sign-up lists, events with RSVPs, announcements, members, check-in, and volunteer shifts with hours. It is run by LoopStack Labs ("LoopStack", "we", "us").

You can reach us at austin@loopstacklabs.com. Our postal address is [[TODO: business mailing address]].

LoopServe is not open to the public yet. These terms take effect when it is. Until then, the only running copies are our development and test sites, and everything in them is sample data we can reset.

2. Agreeing to these terms

By creating an account, signing in, or using LoopServe, you agree to these terms and to our Privacy Policy. If you do not agree, please don't use the service.

If you use LoopServe for an organization, a school, a club or any other group, you are also confirming that you are allowed to act for that group, and that everyone who needs to say yes to this has said yes.

3. Who can use LoopServe

You need to be at least 18 years old to create an account, or at least 13 with a parent or guardian's permission and their help setting it up. If you are under 13, you can't create an account at all; a parent, teacher or organizer can still add your name to a sign-up list or a volunteer shift. See our Children's Privacy section for how that works.

If you set up a group, you are confirming that you have the authority to do that for the group, and that you have permission to share anything about other people that you put into it.

If you are using LoopServe as part of your job, you are confirming you may accept these terms for your employer too.

4. Your account, and keeping it safe

Sign-in is handled by our identity provider, Clerk, at auth.loopserve.app. We keep our own record of your name, your email address, and your phone number if you give us one.

Keep your email account secure, because that is how you sign in. Tell us right away at austin@loopstacklabs.com if you think someone else has got into your account. You are responsible for what happens under your account until you tell us.

Use real details for yourself. Don't create an account for someone else, share one account between several people, or sign up on someone else's behalf without asking them.

5. What you may not do

LoopServe is for getting real groups organized. Please don't use it to:

  • send spam, or message people who have not agreed to hear from you;
  • post or share anything illegal, threatening, hateful, harassing, or sexually exploitative of anyone, and never anything that sexualizes a minor;
  • impersonate someone else, or pretend to represent a group you don't;
  • collect money under false pretenses, or use a sign-up list as a front for a scam;
  • scrape, crawl or bulk-download the service or other people's information, or get around a private group's access rules;
  • probe, overload or break the service, or try to reach data that isn't yours;
  • resell LoopServe, or offer it as your own product, without our written agreement;
  • upload malware, or anything that would harm someone who opens it;
  • use the service in a way that breaks the law where you or the people you organize live.

We may remove content or close an account that breaks these rules. Where it's reasonable to, we'll tell you why.

6. If you run a group

When you create a group, a sign-up list or an event, you are the organizer. That means a few things are yours, not ours:

  • Your group's content. What you post, who you invite, who you approve, and whether it is accurate are your calls. So is having the right to share anything you upload.
  • Other people's information. If you add a member, put a child's name on a list, or upload a roster, you are confirming you have permission to do that and that you'll handle it the way the law where you live requires.
  • Messages you send. Announcements, reminders and invites go out under your group's name. You need permission from the people you message, and you need to follow the rules that apply to texting and email where they are (see section 10).
  • Money you collect. If your group collects dues, donations or payments, that is between you and the people paying. We are not a party to it, we don't hold the money, and we aren't responsible for whether the amount is right, whether it is refunded, or what happens if a payment is disputed. Section 9 has more.
  • Your group's rules. If your school district, diocese, league or parent organization has its own rules about collecting information or money, following them is up to you.

If you hand a group over to someone else, or leave, the new organizer takes on these responsibilities from that point.

7. Your content

You keep ownership of everything you put into LoopServe: your group's name and description, sign-up lists, events, announcements, photos and files.

You give us permission to store, copy, display and send that content, but only as needed to run the service for you and your group. That covers showing a list to the people you shared it with, emailing an announcement, putting an event on a group calendar, and keeping backups. This permission ends when you delete the content or close your account, apart from copies that are already in backups or that we have to keep for legal reasons.

We won't use your content for advertising, and we won't sell it. We won't publish it anywhere you haven't published it yourself.

We may look at content when we have to: to fix a problem you reported, to investigate abuse, or because the law requires it. We keep that to as few people as possible.

If you think something on LoopServe infringes your copyright, write to austin@loopstacklabs.com with the link, what is yours, and how to reach you. [[TODO: whether to name a DMCA agent and register one with the U.S. Copyright Office]]

8. AI features

Some parts of LoopServe use AI to help you write and fill things in, like turning a photo of a paper sign-up list into a real one, drafting an announcement, or suggesting what a list needs. These features run on AI credits included in paid plans. [[TODO: final wording on AI credits once pricing is set]]

AI makes mistakes. It can misread a name, invent a date, or write something that isn't true. Check anything it produces before you share it or rely on it, especially times, amounts, names and anything you send to other people. You are responsible for what you publish under your group's name, whether you typed it or the AI suggested it.

We don't train AI models on your content, and we only send a service what it needs to do the task you asked for. Our Privacy Policy explains that in more detail.

9. Plans, billing and refunds

LoopServe has free features and paid plans. The paid plans, what they include, and what they cost are described on our pricing page. [[TODO: link to the pricing page once it exists]]

[[TODO: pricing, billing cycle, how upgrades and downgrades work, taxes, and the refund policy]]

Paid plans include a monthly allowance of text messages, with extras charged at cost. [[TODO: text message allowance per plan, and the per-message price for extras]]

Payments your group collects. If you turn on payments for your group, you connect a Stripe account in your own name. Money people pay goes into that account, not ours. We never hold your group's funds. You are responsible for the prices you set, for refunds, for chargebacks, and for any tax you owe on what you collect. [[TODO: the platform fee LoopServe charges on payments, if any, and who pays it]]

If a payment of yours fails or is reversed, we may pause the paid features it was paying for. We'll tell you before we do, unless the situation is urgent.

10. Texts, email and permission

LoopServe can email the people in your group, and, when texting is turned on, send them text messages. [[TODO: whether text reminders ship with all paid plans or only some]]

If you send texts through LoopServe, you are the one sending them. That means you need to:

  • have each person's permission before you text them, in the way the law where they live requires;
  • tell them who is messaging and how to stop, and honor a stop request right away;
  • keep your messages to what the person signed up for;
  • not text anyone who has asked your group not to.

Our provider, Twilio, handles delivery. Carriers can filter or block messages, and delivery is never guaranteed. We'll do what we can to help you fix deliverability problems.

We may limit how many messages a group can send in a day, and we may pause messaging for a group that looks like it is spamming people.

11. Other services we use

LoopServe is built on other companies' services: Clerk for sign-in, Mailjet for email, DigitalOcean for hosting, Twilio for texts, and Stripe for payments. Our Privacy Policy lists what each one does with your information.

If something goes wrong in one of those services, our responsibility to you is still limited by these terms.

Links in a group can point anywhere. We don't control other sites and aren't responsible for them.

12. Availability, changes and new features

We work to keep LoopServe up, but we can't promise it will never be unavailable. We may take it down for maintenance, and we may change or remove features. If we remove something you are paying for, we'll tell you in advance and offer a fair way out.

We may also release features early, marked as beta or preview. Those can change or disappear without notice, and they come with these terms like everything else.

[[TODO: any uptime or support commitment we want to promise on paid plans]]

13. Ending your use

You can stop using LoopServe at any time and delete your account from your settings. Deleting your account does not delete your group, which belongs to the group's organizers; if you are the only organizer, hand it over or close it first.

We may suspend or close an account if it breaks these terms, if we are required to by law, or if keeping it running would put other people at risk. Except in serious cases, we'll warn you first and give you a chance to put it right, and we'll tell you how to get a copy of your content.

Some parts of these terms keep applying after your account closes: sections 7, 9, 14, 15, 16 and 17.

14. Disclaimers

LoopServe is provided as it is. To the extent the law allows, we don't make promises that it will be uninterrupted, error-free, or that it will fit a particular purpose.

We don't check what organizers post, and we don't guarantee anyone's identity, the accuracy of a sign-up, or that a volunteer will show up. Use your judgment about the people and information you find here, the same way you would with a paper sign-up form on a bulletin board. [[TODO: counsel to review the disclaimer wording for the states we sell in]]

15. Limits on what we owe you

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits, lost data, or a group event going wrong, arising out of your use of LoopServe.

Where we are liable, our total liability for a claim is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred U.S. dollars. Some places don't allow limits like this, and where that is the case, this section doesn't apply.

16. If a claim is brought because of something you did

If someone makes a claim against us because of content you posted, a message you sent, money you collected, or a rule you broke, you agree to cover our reasonable costs and losses from that claim, as long as we tell you promptly and let you take part in defending it.

17. Which law applies

These terms are governed by the laws of the State of Florida, and any dispute will be heard in the state or federal courts there. [[TODO: confirm Florida with counsel, and whether to add an arbitration or small-claims clause]]

Nothing here stops you from using rights you have under the law where you live, including privacy rights described in our Privacy Policy.

18. Changes to these terms

We may update these terms. When we do, we'll change the date at the top and, for changes that meaningfully affect you, tell you by email or on the site before they take effect. If you keep using LoopServe after a change takes effect, you are agreeing to the new version.

19. Getting in touch

Questions about these terms, or a problem you want to raise: email austin@loopstacklabs.com and we'll answer as soon as we can. [[TODO: a response time we are comfortable promising, e.g. five business days]]
